Acceptance and operator identity
These Terms and Conditions are a binding agreement between you and comPayr Financials LLC, a Michigan limited liability company with a mailing address at 12745 S. Saginaw St, Ste 806 #162, Grand Blanc, Michigan 48439. You may contact us through our public contact flow.
By accessing, registering for, or using the Service, you agree to these Terms. If you are accepting these Terms on behalf of a business, you represent that you have authority to bind that business.
If you do not agree to these Terms, do not access or use the Service.
Eligibility, users, and account authority
The Service is offered only to users who are at least 18 years old and authorized to act for a business customer. The contracting customer under these Terms is the business entity that opens or uses the account.
The business customer may permit authorized administrators, employees, contractors, or other workforce users to access certain parts of the Service. The business customer is responsible for all activity that occurs under its account and for the actions of its authorized users.
You must maintain accurate registration information and protect credentials, MFA methods, devices, and account recovery channels.
Service scope and important limits
comPayr currently provides beta payroll calculation software that helps eligible business customers calculate payroll, review payroll-related tax information, generate payroll outputs, manage workforce and employer records, and prepare related reports and forms.
The current beta is intended only for standard contributory employers, meaning conventional single-state employers with in-state W-2 payroll.
The Service does not currently support remote workers, multi-state payroll, or other non-standard workforce configurations.
comPayr does not currently perform or submit new-hire reporting.
comPayr may also offer optional or evolving workflows for benefits, deductions, leave, reporting, onboarding, document generation, and related workforce operations. Those features may be limited, modified, or discontinued at any time.
comPayr is not a payroll service provider and does not currently move customer funds, provide direct deposit, provide payroll payment services, or file or pay taxes on a customer's behalf. If comPayr later offers different services, they will need to be described in a separate written agreement.
Billing, trial usage, and fees
The current beta launch is offered free of charge.
No credit card, bank account, or other payment credential is required to create an account during the current testing phase.
comPayr has not finalized its long-term pricing model, billing triggers, packaging, commercial structure, or billing processor relationships for the Service.
Before we begin charging for the Service, we expect to publish updated pricing terms, billing-process details, refund or cancellation posture, and any related privacy or cookie updates required by the vendors used for commercialization.
During the beta period, we may add, remove, or change fees, billing triggers, pricing, or packaging prospectively. If we decide to move from free beta access into a paid model, we expect to provide advance notice through the site, the product, or account communications before those changes take effect.
Except where required by law, fees are non-refundable. You remain responsible for all charges validly incurred under your account.
Customer responsibilities
You are solely responsible for the lawfulness, completeness, and accuracy of payroll, workforce, company, tax, deduction, benefit, leave, and related record information submitted to the Service.
You are responsible for reviewing payroll outputs before payroll is approved, finalized, exported, filed, paid, or otherwise relied on.
You must not use the current beta for remote-worker payroll, multi-state payroll, or other unsupported workforce scenarios.
You remain responsible for payroll approval, payroll execution outside the software, wage-and-hour compliance, worker classification, tax setup, tax filing, tax payment, deductions, benefits, leave administration, onboarding, labor notices, data privacy obligations, and employment-law compliance.
- obtaining all required consents, notices, and authorizations from your workforce and administrators
- maintaining any downstream banking, payroll-service, tax-filing, or payment-provider relationships you choose to use outside comPayr
- handling new-hire reporting and any similar employer filing or notice obligations outside comPayr
- keeping your account, workforce, and payroll data current
- using qualified legal, tax, payroll, HR, or accounting advisors where needed
No legal, tax, accounting, or HR advice
The Service is software. comPayr does not provide legal, tax, accounting, audit, HR, benefits, employment, or compliance advice through the Service or through support communications.
Outputs, prompts, forms, calculations, deadlines, and workflow recommendations are informational tools only. They are not a substitute for professional review and do not shift your legal or tax obligations to comPayr.
Worker access, service providers, and optional features
If you allow workers to access the Service, that access remains subject to your instructions and your relationship with those workers. You remain responsible for what workforce users may see, review, update, or rely on through the account.
Communications, authentication, hosting, analytics, address support, and related operational services may be provided or supported by third-party providers. Separate third-party terms may apply.
comPayr is not a payroll service provider, bank, payroll card issuer, payment processor, tax authority, or government agency.
Acceptable use and prohibited conduct
You may use the Service only for lawful business purposes and only in accordance with these Terms.
- using the Service to violate employment, tax, wage-and-hour, banking, privacy, or sanctions laws
- submitting fraudulent, misleading, or unauthorized payroll instructions
- attempting to scrape, reverse engineer, interfere with, or bypass security controls in the Service
- misusing payroll calculations, forms, records, or exported outputs
- using another person’s credentials or defeating access restrictions
- uploading content that infringes the rights of others
Intellectual property, customer data, and deidentified data
comPayr and its licensors own the Service, including software, workflows, site content, design, trademarks, and related intellectual property.
As between the parties, you retain rights in Customer Data you provide to the Service. You grant comPayr the limited rights needed to host, process, transmit, secure, support, and improve the Service.
If you provide feedback, suggestions, or product ideas, you grant comPayr a worldwide, perpetual, irrevocable license to use them without restriction or compensation.
comPayr may use deidentified or aggregated data that does not identify you, your business, or a worker for analytics, security, improvement, benchmarking, and reporting.
Suspension, termination, retention, and export window
We may suspend or terminate access to the Service for breach, misuse, fraud risk, security concerns, nonpayment, suspected unlawful activity, or legal exposure.
If the relationship ends, we may provide a limited post-termination window for retrieving or exporting data. After that window, access may end, subject to applicable law and our retention obligations.
We may retain records, logs, backups, audit artifacts, support records, payroll-related records, and other data as reasonably needed for legal, tax, operational, fraud-prevention, dispute, backup, and security purposes.
Disclaimers, no SLA, and limitation of liability
The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. comPayr disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
The Service is a beta offering. Although we work hard to make the Service useful and reliable, not every edge case has been tested, and the Service may contain errors, omissions, unsupported scenarios, or incomplete workflows.
comPayr does not promise uninterrupted availability, error-free operation, or that the Service will satisfy every legal or jurisdiction-specific payroll requirement without customer review.
comPayr does not guarantee accurate calculations or guarantee the accuracy, completeness, or suitability of payroll calculations, tax calculations, forms, reports, or other outputs. Customers must review all outputs before using, filing, paying, transmitting, or relying on them.
To the fullest extent permitted by law, comPayr will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, lost revenue, loss of goodwill, data loss, or payroll, tax, or employment disputes arising from Customer Data, customer instructions, or customer decisions.
To the fullest extent permitted by law, comPayr’s aggregate liability for claims arising out of or related to the Service will be capped at the fees paid or payable by the customer for the Service during the 12 months before the event giving rise to the claim, except where a different limit is required by law.
Indemnity and force majeure
You will defend, indemnify, and hold harmless comPayr and its affiliates, officers, employees, and contractors from claims, damages, liabilities, losses, and expenses arising from Customer Data, payroll instructions, workforce disputes, legal violations, misuse of the Service, or your breach of these Terms.
comPayr is not liable for delays or failures caused by events outside its reasonable control, including banking interruptions, rail outages, labor actions, cyberattacks, utility failures, governmental actions, internet failures, natural disasters, or third-party platform outages.
Dispute resolution, arbitration, and class waiver
These Terms are governed by Michigan law, without regard to conflict-of-law rules.
Any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration, except for matters that may be brought in small claims court and claims seeking injunctive relief relating to intellectual property, misuse, or collections.
You and comPayr waive any right to participate in a class action, class arbitration, or representative action.
You may opt out of arbitration within 30 days after first accepting these Terms by sending written notice through our public contact flow. The notice must clearly identify the customer, the account, and the request to opt out.
DMCA, notices, and general contract terms
If you believe content available through the Service infringes your copyright, send a notice through our public contact flow with enough detail for us to review the claim.
Formal notices to comPayr under these Terms may be sent through our public contact flow and to the mailing address listed above.
comPayr may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets. You may not assign these Terms without comPayr’s prior written consent.
If any provision is unenforceable, the remaining provisions will remain in effect. No waiver is effective unless in writing. Headings are for convenience only. Provisions that by their nature should survive termination will survive. These Terms, together with any incorporated policies or order forms, form the entire agreement between the parties. Nothing in these Terms creates an agency, partnership, joint venture, fiduciary, or employment relationship between the parties.
